EXPLANATORY NOTES FOR AN INTERNATIONAL CONSIGNMENT STOCK SUPPLY AGREEMENT WHERE THE SUPPLY OF GOODS TAKES PLACE OUTSIDE THE REPUBLIC OF SOUTH AFRICA

This is a very detailed international trade agreement that may be used for the supply of goods by one party (“the Supplier“) to another (“the Purchaser“) outside the borders of the Republic of South Africa. It is intended for use by large corporates that fall outside the ambit of the NCA. The Purchaser is an overseas entity, whereas the Supplier is a South African entity. This agreement has robust protective security measures for the Supplier if the transaction goes awry for any reason. The Purchaser is also distributor of the Supplier’s goods in the overseas territory and market makes for the Supplier.

This agreement is intended solely for use by seasoned legal practitioners. It is drafted in favour of the Supplier however, with minimal effort, a seasoned legal practitioner can make all rights and obligations reciprocally applicable, or in favour of the Purchaser, as the case may be. Certain regulatory approval (Reserve Bank, Competition authorities etc. may be required)
