EXPLANATORY NOTES FOR THE PERSONAL CONFIDENTIALITY UNDERTAKING EXECUTED IN TERMS OF A UNILATERAL CONFIDENTIALITY UNDERTAKING

This undertaking must be signed by individuals who will be privy to the confidential information that the disclosing party under a unilateral confidentiality undertaking, shares with the recipient. A practical illustration of this would be when two juristic parties sign the agreement, but the actual individuals also need to be bound to the agreement; that is why personal confidentiality undertakings are required.
